An independent production company required legal support to facilitate the voluntary exit of one of its founding shareholders. Although the business had limited commercial traction at the time, its identity and early-stage IP assets carried symbolic and strategic value. I developed a plain-English Heads of Terms to govern the exit, including provisions for share surrender, capped profit-based compensation, project crediting, and mutual non-disparagement. Additional clauses covered narrative framing, IP retention, and future sale proceeds. The framework provided closure and continuity—minimising risk while preserving goodwill and creating a sustainable path forward under sole leadership.
